EXPERIENCE AND REPRESENTATIVE MATTERS
- Advised the preferred bidder consortium in connection with the Dammam ISTP project.
- Advised the preferred bidder consortium in connection with the Shuqaiq 3 IWP project.
- Advised the preferred bidder in connection with the Rabigh 3 IWP project.
- Advised Nabors Industries Ltd. on its joint venture with the Saudi Arabian Oil Company to own, manage and operate onshore drilling units in the Kingdom of Saudi Arabia.
- Advised the lenders to the successful bidder for the 1,520 MW Fadhili independent power project.
- Advised a Saudi client with the incorporation of a closed joint stock company.
- Advised NCB on the private placement of a SAR 1 billion Tier I sukuk issuance that was issued on 22nd June 2015. This was the first Basel III compliant Tier I capital sukuk to be issued by a Saudi Arabian bank. This issuance required aligning the sharia structure with the SAMA approved Basel III requirements. Ms. Halwani acted as Saudi Arabian counsel to NCB and advised on the offering materials, Islamic and transaction documents including the mudaraba contract, the declaration of agency, the payment administration contract, the placement agency contract, the subscription contract and regulatory approvals.
- Advised NCB on the private placement of a SAR2 billion Tier I sukuk issuance issued on 15th July 2015. Ms. Halwani acted as Saudi Arabian counsel to NCB and advised on the offering materials, Islamic and transaction documents including the mudaraba contract, declaration of agency, the payment administration contract, the placement agency contract, subscription contract and regulatory approvals.
- Advised NCB on the private placement of a SAR2.7 billion Tier I sukuk issuance issued on 23rd December 2015. Ms. Halwani acted as Saudi Arabian counsel to NCB and advised on the offering materials, Islamic and transaction documents including the mudaraba contract, declaration of agency, the payment administration contract, the placement agency contract, subscription contract and regulatory approvals. This structure required advice on the Investment Fund Regulations, in addition to the Offer of Securities Regulation and Capital Market Law.
- Advised the lenders to ACWA Holding and Air Products in relation to the development and financing of the Jazan Air Separation Unit for the supply of nitrogen and oxygen to Saudi Aramco at Saudi Aramco’s Jazan Refinery Complex Project.
- Advised Rabigh Arabian Water and Electricity Company in connection with a US$776 million facility to fund the expansion of its IWSPP project for the expansion of its facility by 2270t/hr of water, 1015t/hr of steam and 160MW of electric power, and advised on various corporate and commercial matters.
- Advised a global IT provider on various corporate matters.
- Advised a European glass manufacturer in connection with the licensing and incorporation of a joint venture company with a well-known Saudi Arabian conglomerate.
- Advised a US water desalination company in connection with incorporating a limited liability company in Saudi Arabia.
- Represented a global pharmaceutical company in litigation against its former Saudi agent.
- Participated in the preparation of a legal due diligence report in connection with the acquisition of a multinational biscuit manufacturer.
